3. Service Description
3.1 Overview
DoLoop is a software-as-a-service platform that helps businesses develop, validate, and execute business strategies, including AI-powered features. The scope of the Service available to you is determined by your Subscription plan as described at the time of purchase.
3.2 Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our reasonable control. Where practicable, we will provide advance notice of scheduled maintenance via email.
3.3 Modifications to the Service
We reserve the right to modify, enhance, or discontinue any aspect of the Service at any time. We will notify you without undue delay via email of any material changes that negatively affect your use of the Service.
4. Account Registration and Responsibilities
4.1 Account Creation
To use the Service, you must create an Account by providing accurate, current, and complete information. You agree to update your information promptly to keep it accurate and complete.
4.2 Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.
4.3 Account Security
You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to:
- Use a strong, unique password
- Not share your Account credentials with any third party
- Notify us immediately of any unauthorized access or security breach
- Log out of your Account at the end of each session when using shared devices
We are not liable for any loss or damage arising from your failure to protect your Account credentials.
4.4 Prohibited Uses
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorized access to the Service or related systems
- Reverse engineer, decompile, or disassemble the Service
- Use automated means (bots, scrapers, etc.) to access the Service without our written consent
- Transmit viruses, malware, or other harmful code
- Impersonate any person or entity or misrepresent your affiliation
- Use the Service to harass, abuse, or harm others
- Resell, sublicense, or redistribute the Service without authorization
5. Subscription and Payment
5.1 Subscription Plans
Access to the Service requires a paid Subscription. Details of available Subscription plans, including features and pricing, are available on our website. All prices are quoted in Euros (EUR) and are exclusive of applicable taxes unless otherwise stated.
5.2 Billing
Subscriptions are billed in advance for each billing period (monthly or annual) of the plan you select. By subscribing, you authorize us or our reseller to charge your designated payment method for the applicable fees.
5.3 Taxes
You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. Payments are processed by our reseller Polar Software, Inc., which acts as merchant of record, charges applicable VAT, and issues invoices.
5.4 Price Changes
We may change Subscription prices upon thirty (30) days' prior notice via email. Price changes will take effect at the start of the next Subscription period following the notice.
5.5 Refunds
Subscription fees are non-refundable except as required by applicable law or as expressly stated in these Terms. If you are a consumer within the European Union, you may have a right of withdrawal as described in Section 13.
5.6 Late Payment
If payment is not received by the due date, we may suspend or terminate your access to the Service after notifying you without undue delay via email and providing an opportunity to cure the payment default.
5.7 AI Credits
AI credits are consumed in proportion to the attributable provider usage of successful work. Work started with a positive credit balance may finish with a negative balance. That negative balance carries across billing periods and is repaid from credits subsequently added to the Account before those credits become available for new work. A negative AI credit balance is never invoiced or collected as money. Unused AI credits expire at the end of the billing period for which they were granted, unless a different expiry is stated when they are granted.
6. Intellectual Property
6.1 Our Intellectual Property
The Service, including all software, Blueprints, designs, text, graphics, logos, and other materials (excluding Customer Data), is owned by DoLoop or its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted to you in these Terms are reserved by DoLoop, and nothing in these Terms transfers to you any ownership of the Service.
Where Output incorporates our materials, such as content from Blueprints, those materials remain ours, and you may use them as part of that Output for your own business purposes, including after the end of your Subscription.
6.2 Your Content
You retain all rights, title, and interest in your Customer Data, including Output. By using the Service, you grant us a limited license to process your Customer Data solely for the purpose of providing the Service to you. This license does not grant us the right to sell, share, or use your Customer Data for any other purpose.
6.3 AI and Customer Data
We do not use your Customer Data to train artificial intelligence or machine learning models. Any AI-powered features within the Service operate on your data only to provide you with insights and recommendations in real time and do not retain or use your data for model training purposes.
The Service uses third-party large language models (LLMs) from OpenAI, Anthropic, and Google to power AI features. These models are accessed directly from the providers or via OpenRouter, an API gateway. Under their standard API terms of service, these providers do not use data submitted via their APIs to train their models. Your prompts are processed to generate responses and are subject only to limited retention for abuse monitoring and safety purposes (typically 30 days or less, depending on the provider). Where AI features use Anthropic's server-side web search, web fetch, or code execution tools, related data may be retained by Anthropic for up to 30 days. The Service additionally uses Voyage AI models, provided by MongoDB Limited through MongoDB Atlas, to generate text embeddings — numerical representations of content used for semantic search and retrieval within the Service. Embedding requests are processed within the EU, and data collection for model training is switched off on our account: inputs are not used to train models.
The Service also uses a third-party web research provider. For market and competitive research, the web research provider receives queries that DoLoop generates from your venture's market context (such as category, buyers and geography) or, for research you request, the briefing you write. Uploaded documents and chat history are not sent. The web research provider, Valyu.Network LTD, acts as an independent controller under its own terms, not as our sub-processor; it does not use these queries to train models. When you import a web page as a document, the Service sends the submitted URL to the same web research provider, which retrieves the page and returns its content as markdown; it processes the URL and the retrieved page content as an independent controller as well. The query-specific no-training statement above does not establish Valyu's handling of submitted URLs or retrieved page content, which is governed by its own terms.
6.4 Feedback, Usage Data, and Service Improvements
If you provide feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable license to use, modify, and incorporate such Feedback into the Service and our other products and services without obligation to you.
We may collect and analyze Usage Data to operate, secure, maintain, and improve the Service and to develop new features and services. Usage Data that relates to you is processed as described in our Privacy Policy.
All improvements, enhancements, modifications, and new features or services that we develop, including those based on Feedback or Usage Data, and Usage Data in aggregated or de-identified form that does not identify you or your organization, belong exclusively to DoLoop. You acquire no rights in them and are not entitled to any compensation for them.
This Section 6.4 does not extend our rights in your Customer Data beyond those set out in Sections 6.2 and 6.3.
7. Data Protection and Privacy
7.1 Our Data Protection Commitments
- German company under EU law. DoLoop GmbH is based in Berlin, Germany, and is subject to the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG).
- Hosted in Germany. Our application servers, database, file storage and cache run in Frankfurt, Germany.
- Contractually bound providers. Every provider that processes personal data on our behalf is bound by a data processing agreement under Article 28 GDPR.
- Safeguarded transfers. Transfers of personal data outside the European Economic Area are safeguarded by the EU Standard Contractual Clauses or the EU–U.S. Data Privacy Framework.
- No model training by AI model providers. The LLM and embedding providers we use do not train models on your data. The independent web research provider’s handling of imported URLs and retrieved pages is governed by its own terms (see Section 6.3).
- Encryption and isolation. Data is encrypted in transit, our database and file storage are encrypted at rest, and access to each account's data is checked on every request against that account's members and their roles.
- Your control. You can download an export of your account data or delete your account at any time in your account settings, and you can exercise your rights under Articles 15 to 21 GDPR.
- Data processing agreement for business customers. For business customers, our Data Processing Agreement under Article 28 GDPR forms part of these Terms and applies automatically.
7.2 Data Processing Location
The majority of Customer Data is processed and stored within the European Union (primarily in Frankfurt, Germany). However, certain services integral to the operation of the Service require data transfer outside the EU:
- AI/LLM Processing: User prompts are processed by large language models from OpenAI, Anthropic, and Google, accessed directly from these providers or via OpenRouter, and processed globally. For accounts with EU processing switched on (the default), requests through OpenRouter are processed in Europe (the EU/EEA, the United Kingdom and Switzerland), except dossier generation and image generation. Uploaded spreadsheets are read by OpenAI.
- Text Embeddings (MongoDB): Text embeddings are generated with Voyage AI models by MongoDB Limited within the EU.
- Document Extraction (Datalab): Documents uploaded for extraction are processed by Datalab within the EU.
- Audio and Video Transcription (AssemblyAI): Uploaded audio and video files are transcribed by AssemblyAI, Inc. within the EU. Files are deleted upon completion of transcription.
- Document Conversion (CloudConvert): Office documents converted to PDF are processed by Lunaweb GmbH (CloudConvert) within the EU (Germany). Files are deleted within 24 hours of conversion.
- Subscription Management (Polar): Payment and subscription data is processed by Polar in the United States.
- Web Research and URL Import (Valyu): Market and competitive research queries, including research briefings written by users, and URLs submitted for document import are sent to Valyu.Network LTD. Valyu retrieves the page content for URL imports and processes the queries, URLs and retrieved content as an independent controller. Valyu may process data in the United Kingdom, European Union, and United States; transfers to Valyu in the United Kingdom rely on the EU adequacy decision for the United Kingdom.
- Email Delivery and Intake (Resend): Emails are sent from the EU; email content and delivery logs are stored in the United States. Email sent to a venture's intake address is received by Resend and its content, including attachments, is stored in the United States.
Transfers of personal data outside the European Economic Area are safeguarded by the EU Standard Contractual Clauses or, where the provider is certified, the EU–U.S. Data Privacy Framework, as set out in our data processing agreement with each provider. A copy of the applicable safeguards is available on request at info@doloop.cc. See our Sub-processor List for detailed information about each sub-processor and their data processing locations.
7.3 No Sharing of Customer Data
We do not sell, rent, or share your Customer Data with third parties for their own purposes. We only disclose Customer Data:
- To sub-processors as necessary to provide the Service (see Section 8)
- To the web research provider, for market and competitive research and to retrieve web pages you import as documents (see Section 6.3)
- Where required by law or valid legal process
- To protect our rights, property, or safety, or that of our users or the public
- With your explicit consent
7.4 Privacy Policy
Our collection and use of Personal Data is further described in our Privacy Policy, available at Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.
7.5 Data Security
We implement appropriate technical and organizational measures to protect Customer Data against unauthorized access, alteration, disclosure, or destruction. These measures include encryption, access controls, and regular security assessments.
8. Sub-processors
8.1 Use of Sub-processors
We engage certain third-party service providers ("sub-processors") to assist in providing the Service. These sub-processors may process Customer Data on our behalf.
8.2 Sub-processor Obligations
All sub-processors are bound by written agreements that require them to:
- Process Customer Data only as instructed by us
- Implement appropriate security measures
- Comply with applicable data protection laws
- Assist us in fulfilling our obligations under the GDPR
8.3 Current Sub-processors
A complete and up-to-date list of sub-processors is maintained in our Sub-processor List, which is incorporated herein by reference.
8.4 Changes to Sub-processors
We may update our sub-processors from time to time. We inform you by email at least fourteen (14) days before a new sub-processor begins processing your personal data. Within that period you may object on reasonable data protection grounds. We will then try in good faith to find a solution; if none is found, you may terminate the affected Subscription with effect from the change, as described in Section 8.5. For business customers, the details are set out in our Data Processing Agreement.
8.5 Your Rights Regarding Sub-processor Changes
If you object to a new sub-processor and we cannot resolve your objection, you may terminate your Subscription by written notice to us, with effect from the change.
Upon such termination:
- Your Subscription will end effective immediately or at a date you specify within the notice period
- We will provide a pro-rata refund of any prepaid fees for the unused portion of your Subscription term
- You may request an export of your Customer Data prior to termination
9. Limitation of Liability
9.1 Exclusion of Certain Damages
To the maximum extent permitted by applicable law, DoLoop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
9.2 Cap on Liability
Our total aggregate liability arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to DoLoop in the twelve (12) months preceding the claim.
9.3 Exceptions
The limitations in this Section 9 do not apply to:
- Liability for death or personal injury caused by negligence
- Liability for fraud or fraudulent misrepresentation
- Liability for gross negligence or intentional misconduct
- Any other liability that cannot be excluded or limited under applicable law
9.4 Essential Contractual Obligations
For breaches of essential contractual obligations caused by simple negligence, our liability is limited to foreseeable, typically occurring damages.
10. Warranties and Disclaimers
10.1 Service Warranty
We warrant that the Service will perform substantially in accordance with its documentation. If the Service fails to meet this warranty, your exclusive remedy is for us to use commercially reasonable efforts to correct the non-conformity or, at our option, refund the fees paid for the affected period.
10.2 Disclaimer
Except as expressly provided in these Terms, the Service is provided "as is" and "as available." We disclaim all other warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10.3 No Guarantee of Results
We do not guarantee that the Service will achieve any particular business results. The success of your business depends on many factors beyond the Service, including your decisions and market conditions.
11. Indemnification
You agree to indemnify, defend, and hold harmless DoLoop, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

We may terminate or suspend your access to the Service:
- Immediately, if you materially breach these Terms
- Upon thirty (30) days' notice via email, for any reason or no reason
12.4 Effect of Termination
Upon termination:
- Your right to access and use the Service will cease immediately
- We will delete your Customer Data within ninety (90) days, unless retention is required by law
- You may request an export of your Customer Data prior to termination
12.5 Survival
Provisions that by their nature should survive termination will survive, including Sections 6, 7, 9, 10, 11, 14, and 15.
13. Right of Withdrawal (Consumers Only)
